TERMS OF SERVICE

These Terms of Service ("Terms") govern the use of the review messaging platform and related services provided by Shared Myths Inc. ("Shared Myths", "we", "us", or "our").

By accessing, using, or subscribing to the Services, the customer ("Business", "you", or "your") agrees to be bound by these Terms.

SERVICES

Shared Myths provides a platform that assists businesses in requesting customer feedback and online reviews through SMS communications and related technologies.

Services may include:

• SMS review request campaigns

• Personalized customer thank-you messages

• AI-generated owner thank-you images

• Google review stands utilizing QR and NFC technology

• Review and reputation management tools

Shared Myths may modify, improve, suspend, or discontinue portions of the Services at any time.

ELIGIBILITY

You represent and warrant that:

• You are authorized to enter into this Agreement on behalf of the Business.

• You have the authority to provide customer information to Shared Myths.

• You will comply with all applicable laws and regulations.

CUSTOMER DATA

The Business may provide:

• Customer first names

• Customer phone numbers

• Date of service or purchase

• Business location visited

The Business agrees not to upload:

• Health information

• Medical records

• Legal matter information

• Government-issued identification numbers

• Financial account information

• Credit card information

• Any other sensitive personal information

Shared Myths reserves the right to remove data that violates this section.

CUSTOMER CONSENT REQUIREMENTS

The Business represents and warrants that:

• it has obtained all required customer consents;
• it has the legal authority to provide customer information to Shared Myths;
• it has complied with all applicable Canadian privacy and anti-spam laws, including CASL and PIPEDA;
• customers have not withdrawn consent prior to upload.

The Business acknowledges that Shared Myths relies entirely on these representations.

SMS COMMUNICATIONS

SMS messages are sent by Shared Myths on behalf of the Business.

The Business authorizes Shared Myths to send review-request and customer-feedback communications using customer information supplied by the Business.

Shared Myths does not guarantee delivery of SMS messages due to carrier restrictions, technical issues, or circumstances beyond its control.

OWNER PHOTO LICENSE

The Business grants Shared Myths a limited, non-exclusive, revocable license to:

• Store photographs provided by the Business;

• Process photographs using artificial intelligence tools;

• Generate personalized thank-you images;

• Use generated content solely for providing Services to the Business.

Ownership of the original photographs remains with the Business.

REVIEW STANDS

Review stands provided by Shared Myths become the property of the Business upon delivery unless otherwise agreed in writing.

Shared Myths does not guarantee the availability, compatibility, or continued functionality of third-party services such as Google Business Profiles.

SUBSCRIPTIONS AND FEES

Services are offered on a monthly subscription basis.

All fees are due in advance unless otherwise agreed.

Failure to pay may result in suspension or termination of Services.

FREE TRIAL

Shared Myths may offer a free trial.

No credit card is required for participation in the free trial unless otherwise stated.

At the conclusion of the free trial, continued use of the Services may require payment of applicable subscription fees.

NO REFUNDS

All sales are final.

No refunds, credits, or prorated reimbursements will be provided for:

• Partial months

• Unused Services

• Early cancellation

• Business closure

• Customer dissatisfaction

CANCELLATION

Cancellation requests must be submitted in writing to Shared Myths.

Upon cancellation:

• Services remain active until the end of the current billing period.

• No refunds will be issued.

• Customer data will be deleted within a reasonable period following account termination unless retention is required by law.

DATA RETENTION

Customer data may remain stored while the Business maintains an active subscription.

Upon termination of Services, Shared Myths will take commercially reasonable steps to delete customer data within a reasonable timeframe.

THIRD-PARTY PROVIDERS

Shared Myths may utilize third-party service providers for hosting, messaging, artificial intelligence, analytics, security, and other operational functions.

The Business acknowledges that customer information may be processed through such providers in order to deliver the Services.

INTELLECTUAL PROPERTY

All software, systems, technology, branding, processes, designs, and materials developed by Shared Myths remain the exclusive property of Shared Myths.

No ownership rights are transferred to the Business.

NO GUARANTEE OF RESULTS

The Business acknowledges that Shared Myths does not guarantee:

• Any number of reviews

• Positive reviews

• Increased ratings

• Improved search rankings

• Increased revenue

• Increased customer traffic

Results depend on numerous factors beyond Shared Myths' control.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Shared Myths shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

In all circumstances, Shared Myths' total liability shall not exceed the total amount paid by the Business to Shared Myths during the twelve (12) months immediately preceding the claim.

INDEMNIFICATION

The Business agrees to defend, indemnify, and hold harmless Shared Myths Inc., its directors, officers, employees, contractors, and affiliates from and against any claims, complaints, investigations, penalties, fines, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

• The Business's failure to obtain required customer consent;

• The Business's violation of CASL, PIPEDA, or any applicable law;

• The Business's submission of unlawful, inaccurate, or unauthorized customer information;

• Any breach of these Terms by the Business.

TERMINATION

Shared Myths may suspend or terminate Services immediately if:

• The Business violates these Terms;

• Shared Myths reasonably believes unlawful activity has occurred;

• Continued service presents legal, operational, or reputational risk.

GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

ENTIRE AGREEMENT

These Terms, together with the Authorization Form and Privacy Policy, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements.

BUSINESS ACKNOWLEDGMENT

By using the Services, signing the Authorization Form, or subscribing to the Services, the Business acknowledges that it has read, understood, and agrees to these Terms of Service.
